Terms & Conditions

1) Engagement and scope
- Services, deliverables, timelines, and approvals are defined in a written Order (proposal/SOW/email confirmation).
- If an Order conflicts with these Terms, the Order controls for that project.
- Parties may modify scope via written communications (including email); agreed additions become part of the Order.
2) Fees, expenses, invoices
- All pricing is custom and set in the Order.
3) Relationship of the parties
- We act as an independent contractor (LLC), not an employee, agent, or partner.
- We control the manner and means of work and carry our own tax and insurance obligations.
- No exclusivity: both parties may work with others.
4) Confidentiality and data protection
- Each party will use the other’s non-public information only for the project and keep it confidential, with standard exclusions (public, already known, or lawfully obtained). Duties survive termination.
- If we process personal data for Client, we do so as a service provider/processor under applicable law; a DPA is available upon request.
5) Warranties and disclaimers
- We warrant services will be performed professionally and consistent with high industry standards.
- We warrant our original contributions won’t knowingly infringe third-party IP (excluding Client/third-party materials).
- Except as stated, services/deliverables are provided “as is.” We do not guarantee specific business outcomes (views, rankings, sales, fundraising).
6) Non-solicitation
- During the project and 12 months after, neither party will directly solicit for employment the other party’s employees/exclusive contractors who worked on the project, without written consent.
7) Limitation of liability
- Neither party is liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or lost profits.
- Our total liability related to an Order is capped at the fees actually paid for that Order.
8) Notices
- Notices are effective when personally delivered; one business day after courier; three business days after certified mail; or on email transmission with acknowledgment. Parties will keep notice details current. Legal notices copy: legal@representstudio.com.
18) Performance guarantee (only if expressly included in your Order)
If your Order includes a Launch Performance Guarantee, the guarantee applies only if:
- The measurement window, qualifying posts, and evidence requirements are met;
- Represent retains creative control over key hook/first seconds and distribution decisions;
- Client meets launch, timeliness, and social-support obligations; and
- Refund requests (if any) follow the specified evidence and timing procedure.
- Specific thresholds, windows, and mechanics are defined in the Order.
